1. Acceptance of Terms

By accessing and using MMC Build Pty Ltd's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our services.

2. Description of Services

MMC Build provides AI-powered construction intelligence platform services including compliance checking, building technology recommendations, supplier directory, training programs, and quoting tools. We reserve the right to modify, suspend or discontinue any aspect of our services at any time.

3. User Accounts and Registration

To access certain features of our platform, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code or viruses
• Attempt to gain unauthorised access to our systems
• Use the service for any illegal or unauthorised purpose
• Interfere with or disrupt the service or servers

5. Intellectual Property

All content, features, and functionality of MMC Build, including but not limited to text, graphics, logos, software, and AI algorithms, are owned by MMC Build Pty Ltd or its licensors and are protected by Australian and international copyright, trademark, and other intellectual property laws.

6. User Content

You retain ownership of any content you submit to our platform. By submitting content, you grant MMC Build a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and display such content solely for the purpose of providing our services.

7. Payment and Subscription Terms

These terms apply to every paid subscription. Please read this section before subscribing — it explains what you will be charged, when, and how to stop.

7.1 Fees and GST

• All fees are in Australian Dollars (AUD).
• Prices shown are exclusive of GST. GST is added at checkout and shown before you confirm.
• Subscription fees are billed in advance — monthly subscriptions on the same day each month, annual subscriptions on the same date each year.

7.2 Free trials and the first charge

There are two separate free periods, and they work differently. The first comes with the account and asks nothing of you; the second comes with a subscription and requires a card.

• Creating an account gives you 14 days free, including 10 compliance runs and 5 plan uploads — the same allowance as a paid Essential subscription. A payment card is required to create an account. Nothing is charged for the first 14 days, the card is stored securely by our payment provider, and you can cancel at any time during the free period without being charged.
• You are not charged at the end of that period, automatically or otherwise. Paid features stop until you choose to subscribe. Your projects and past results are retained.
• Subscribing requires a valid payment card and starts a further 14-day free trial. You are not charged during it.
• At the end of that second period your card is automatically charged for the first billing period, unless you cancel before then. The amount and the date are shown to you before you enter your card, and we email you before the charge is taken.
• Cancelling during either period costs you nothing. You can cancel at any time from the Billing page — see clause 7.4.

7.3 Automatic renewal

• Subscriptions renew automatically at the end of each billing period, and your card is charged for the next period, until you cancel.
• We will notify you by email before any change to the price you pay, with enough notice for you to cancel first if you choose to.

7.4 Cancelling

• You can cancel at any time, from the Billing page in your account. No notice period, no cancellation fee, and no need to contact us or explain why.
• Cancelling stops the next charge. Your subscription stays active for the remainder of the period you have already paid for, and you keep access until it ends.
• Your data remains available for the rest of the paid period. See clause 11 for what happens to it afterwards.

7.5 Refunds

• Because cancelling stops future charges rather than the current one, part-period refunds are generally not provided.
• Nothing in these terms limits your rights under the Australian Consumer Law, including remedies where a service is not supplied with due care and skill or does not match its description. Those rights apply regardless of anything stated here.
• If you believe you have been charged in error, contact us and we will deal with it promptly.

7.6 Failed payments

• If a renewal payment fails, we will notify you and attempt it up to two more times.
• If it is still unpaid after those attempts, you have a 7-day grace period in which your access continues and you can update your payment details. After that, access to paid features is paused until the account is brought up to date.
• Pausing access does not delete anything. Your data remains available as set out in clause 11.

7.7 Taxes

• You are responsible for any taxes arising from your use of the services other than GST charged by us on our fees.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive to provide accurate compliance information and recommendations, users are responsible for verifying all information and ensuring compliance with applicable regulations.

9. Limitation of Liability

To the maximum extent permitted by law, MMC Build Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

10. Professional Advice Disclaimer

The information and recommendations provided by MMC Build are for informational purposes only and do not constitute professional advice. Users should consult with qualified professionals for specific advice regarding their construction projects and compliance requirements.

11. Termination

We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms of Use or is harmful to other users, us, or third parties, or for any other reason.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms of Use on this page and updating the "Last updated" date. Your continued use of the service after such changes constitutes acceptance of the new terms.

13. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
